Final Frame
Terms of Service
Version 1.18 · Effective October 20, 2026
- The Mac app is free, runs on your computer and needs an account. Renders made without a licence carry the render mark. Removing or defeating the mark is a breach of this agreement.
- You are responsible for your credits: the names, the spelling, the order, the guild and union rules, the contracts and the delivery spec. Final Frame flags what usually needs a second look. It never decides.
- What appears on screen, in the preview, the sheet, the review player, the compliance findings or the sign-off record, can be wrong. Check every file you deliver.
- Subscriptions renew until cancelled. A picture licence is a one-time purchase for one named production, and a season licence for one named season of a series. Prices are in US dollars and exclude tax.
- Disputes go to individual arbitration in Los Angeles under California law, and you have 30 days to opt out.
1. This agreement
These Terms of Service (the “Agreement”) are a contract between you and Highland Park Electric Co, Inc., a California corporation, doing business as Final Frame (“Final Frame”, “we”, “us”, “our”). They govern the Final Frame macOS application (the “App”), the service at finalframe.cc (the “Service”), and everything either of them produces.
You accept this Agreement by doing any of the following: ticking the box to accept it when you sign in to the App, creating an account, signing in, entering a project you were invited to, buying a plan or a licence, or using the App or the Service. If you are using Final Frame on behalf of a production company, a studio, a school or any other organisation, you represent that you have authority to bind it, and “you” means that organisation as well as you personally.
IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT INSTALL THE APP AND DO NOT USE THE SERVICE.
ARBITRATION NOTICE: SECTION 18 REQUIRES DISPUTES TO BE RESOLVED BY INDIVIDUAL ARBITRATION AND WAIVES CLASS ACTIONS. IT AFFECTS YOUR RIGHTS. YOU MAY OPT OUT WITHIN 30 DAYS.
ACCURACY NOTICE: SECTION 8 SAYS THAT YOU, NOT FINAL FRAME, ARE RESPONSIBLE FOR THE CONTENT, ACCURACY AND COMPLIANCE OF YOUR CREDITS, AND THAT NOTHING SHOWN ON SCREEN IS A WARRANTY. READ IT.
The Privacy Policy at https://www.finalframe.cc/privacy explains what we collect and why. It is part of this Agreement.
2. Definitions
- “Credit Data” means everything you put into a roll: names, roles, headings, cards, song and logo credits, text, images and logos, and the spreadsheets, files and staged edits they come from.
- “Content” means Credit Data together with your comments, drawings, approvals, project names, series names, version labels, style templates and anything else you or your collaborators add.
- “Production” means the film, episode, series, or other work whose credits a project holds.
- “Render” means any file the App exports, in any format, and “Proxy” means the review video the App uploads to the Service.
- “Render Mark” means the tiled diagonal mark reading FINAL FRAME · FREE RENDER that the App composites onto every Render made without an Entitlement.
- “Entitlement” means an active subscription, an active student grant, or a Picture Licence or Season Licence that applies to the project being rendered.
- “Picture Licence” means the one-time licence to render one named Production without the Render Mark, described in Section 6.
- “Season Licence” means the one-time licence to render the episodes of one named season of a series without the Render Mark, described in Section 6.
- “Version” means an immutable snapshot of a project published to the Service, and “Approval” means a record that a named person marked a Version as approved or requested changes.
- “Collaborator” means any person you invite to a project by email address, and “Guest” means a Collaborator admitted through an invite link without an account, before invites required an email address.
3. The App: your licence, and what it does on your Mac
3.1 Licence
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on Macs you own or control, to build, preview and render credit sequences. The App is licensed, not sold. The whole editor, every output format, full resolution and unlimited renders are free. What an Entitlement buys is the Render without the Render Mark.
3.2 The Render Mark
Every Render made without an Entitlement carries the Render Mark across the whole picture, in every format, including inside the alpha channel of formats that carry one. The Mark is the price of the free tier. You may use marked Renders for tests, cuts, festival screeners, approvals and any other purpose, but you may not remove, obscure, crop, mask, key out, paint out, or otherwise defeat the Mark, and you may not deliver a marked Render as a clean one.
The App decides whether to apply the Mark by asking the Service about your account and caching the answer on your Mac. That check runs on your computer, in software you can open. We know it can be tampered with, and we have chosen not to make the App fail closed on a paying customer to stop it. Tampering with, patching, bypassing or spoofing the Entitlement check, or distributing anything that does, is a material breach of this Agreement, terminates your licence, and is a circumvention of a technological measure under 17 U.S.C. § 1201 and equivalent laws.
3.3 Automatic updates
The App checks for a new version when it opens and every six hours while it is open and, if a newer signed build exists, downloads and installs it without asking. It never installs one while a render, an upload or a file read is running, and it never restarts itself: the update takes effect when you choose to restart the App, from the notice it shows or its menu, or the next time you open it. Updates are signed and the App refuses one that does not verify. You can see the version you are running, and check for an update, from About Final Frame. There is no setting to turn this off. You consent to it by using the App. If you cannot accept automatic updates, do not install the App.
3.4 What the App reads and writes on your Mac
The App works with files and system resources on your computer, at your direction and in ways you should know about:
- It reads every font installed for your user, including fonts synced by Adobe Creative Cloud, and loads them into the App so your credits render in the typeface you chose. Font files never leave your Mac.
- It reads the spreadsheets, project files and images you open, and drives Apple Numbers through macOS Automation, with your permission, to convert a .numbers file.
- It keeps your projects, revision history, style templates, cloud links and a cached Entitlement answer under ~/Library/Application Support/Final Frame, and writes Renders to the folder you choose, by default a Final Frame folder on your Desktop.
- It reads the macOS word list at /usr/share/dict/words for spell checking. Nothing is sent anywhere to spell check.
- The first time you render, it downloads FFmpeg, the open-source encoder that writes every video format, from a third-party build server, stores it in that same Application Support folder, and runs it. See Section 12.
3.5 Your files are yours to keep safe
Projects, revisions and Renders live on your Mac. Autosave and revision history are conveniences. They are not a backup. Once a project is online we hold a copy of its document only; its revision history and Renders stay on your Mac. Deleting a project you own, in the App or on the site, schedules it for deletion 14 days later; until then it is listed as deleted, you can keep it, and nothing in it changes. Then it is deleted from the Service. A project deleted from the Service, wherever that happened, is removed with its revision history from every Mac signed in to an account that holds a copy, the next time the App looks. Leaving someone else's project in the App removes your access and your copy on that Mac. Renders you exported are never deleted. Keep your own backups. Uninstalling the App, deleting its Application Support folder, or a failure of your Mac loses that work, and we cannot recover it.
3.6 Fonts are yours to license
The App ships no fonts. It renders with fonts you have installed, under whatever licence you hold for them. You are responsible for having the right to embed each typeface in a delivered work, including for fonts synced from a subscription service. We make no representation about any font licence.
3.7 What you may not do with the App
You may not copy the App except for backup, distribute, sublicense, rent or lend it, reverse engineer, decompile or disassemble it except to the extent the law allows despite this term, remove any notice from it, use it to build a competing product by copying its behaviour, or use it in breach of any law.
3.8 No telemetry
The App sends nothing about you or your work anywhere until you sign in or publish. It has no analytics, no crash reporting and no usage tracking. The connections it does make are listed in the Privacy Policy.
4. Accounts, guests and security
You need an account to use the App and the Service. The App asks you to sign in the first time it opens; a new email address makes an account with a code we send to it, and building credits on your Mac stays free. You must be at least 18, or the age of majority where you live, to hold an account. Provide a real email address you control, and keep it current: it is how we reach you, how invites and sign-off requests find you, and how your account is recovered.
You are responsible for everything done under your account, and for keeping your password and second factor to yourself. Passwords must be at least 12 characters and are checked against known breaches. We recommend two-factor authentication. Tell us at once if you believe your account has been used without your permission. Signing out of every session revokes those sessions' refresh tokens; a device keeps working until its current access token expires, which can be up to an hour, and the account page says so.
Collaborators are invited by email address. An invite is for the person it names and nobody else, so do not forward it. Someone invited without an account gets one by entering a code we email to the invited address and then choosing a password, and holds it on the same terms as any other account. Someone who already has an account signs in to it as usual, and an invite never opens an existing account or makes one without that code. No new Guests are admitted. An existing Guest can watch and comment, owns nothing, cannot buy anything, can be removed by the project owner at any time, and is bound by this Agreement.
One person, one account. Do not share credentials, and do not create accounts by automated means or for anyone but yourself or your organisation.
5. The Service: collecting, reviewing and signing off
5.1 What it is
The Service lets you put a project online, invite Collaborators to fill in and correct credits in a shared sheet, publish Versions rendered on your own Mac, review them in a browser with timed comments and frame drawings, and ask named people to sign a Version off. Creating a project and typing names into it is free. Publishing a Version and inviting a Collaborator need an Entitlement.
5.2 Your Mac does the rendering
The Service does not render video, and a Version cannot be requested from it. A Version is rendered by the App on a Mac, from the project as it stands in the App, and published from there. A change typed in the web sheet is in a Version only once someone has accepted it in the App.
5.3 Edits made online are a changeset
Changes typed in the web sheet are staged, and land in the document only when someone accepts them in the App. Someone using the App can hold a staged change instead: it stays out of the document, and it is declined when the next Version is published. An edit whose row no longer exists stays staged rather than being dropped, and a move whose anchor is gone stays staged rather than being guessed. It is your responsibility to review what was staged and what was applied before you publish or deliver.
5.4 Versions and Approvals
A published Version is immutable: its document, its hash and its Proxy do not change, and only its label can be edited. An Approval binds to that hash. If the project changes after a Version was approved, the App says so at export time, and a Render of the changed project is not the approved cut. An Approval is a record of what a named person clicked and when. It is not a certification by us of anything about the Version, and the view log is a record of players that asked to be recorded, not proof that a person watched.
5.5 Collaborators see each other
People on a project see each other's display names, the email address of each named invitee, comment bylines, who approved what, and who viewed which Version. The owner can turn on a per-viewer watermark that draws each viewer's name over the review video. Invite people accordingly.
5.6 Availability and changes
We aim to keep the Service available but do not promise any uptime, and we may change, suspend or retire any feature. The Service is currently in a pre-launch period behind a shared password, and features described in the App, on the site or in our documentation may not be built yet. Where a page says a feature is not available, that page is right.
5.7 The Reference library
Reference is a library of how real end credits are set, measured from films and shows that belong to other people. It is open to everyone, with an account or without, and this section applies to anyone who views it. It shows measurements and drawings we make ourselves, and still frames from those credits, chosen by us, so you can see how a credit looks on screen. The images belong to their owners. You may look at them to study and to inform your own work, including a private mood board or an internal pitch. You may not download, copy, post, share, resell or redistribute them, scrape the library, or use anything in it to train or tune a machine-learning model. We may take any title down at any time, including because its owner asks. If you hold the rights in a title, or designed its credits, and want its stills removed or shown as drawings only, email us and name the title; no formal notice is needed for that. A notice of infringement follows Section 20, and the page at finalframe.cc/dmca says what to include.
6. Plans, fees, licences and refunds
6.1 The plans
Current prices are shown on the pricing page and at checkout. At the effective date they are: the App, free; a Picture Licence, one production, one-time; a Season Licence, one season of a series, one-time; Pro, annual, unlimited productions including every season; and a Student plan, free for twelve months on approval. Prices are in US dollars and exclude sales tax, VAT, GST and similar taxes, which are added at checkout based on the billing address you give. We may change prices with at least 30 days' notice by email; a change takes effect at your next renewal.
6.2 Payment
We sell to you directly. Payment is taken on our checkout page and processed by Stripe under its own terms, and we never see your full card number. By starting a subscription you authorise us to charge your payment method the recurring fee, plus tax, at the start of each billing period until you cancel. If a charge fails, the Entitlement may lapse until it succeeds. Promotion codes may be offered and withdrawn at our discretion and are worth only what they say.
6.3 Subscriptions renew until cancelled
A subscription renews automatically at the end of each period. Cancel at any time from the billing portal on your account page. Cancellation takes effect at the end of the period already paid for: the Service keeps working until that date, and no partial-period refund is due.
6.4 The Picture Licence and the Season Licence
A Picture Licence is a one-time purchase that entitles one Production, named at purchase, to Renders without the Render Mark, in every format, for as long as the App exists, together with the Service's paid features for that project. The Production name is frozen at purchase and printed on your invoice. A Picture Licence is not a subscription, does not expire, is not transferable to another Production, and is not refundable except as Section 6.6 says. Using one licence to deliver more than one Production is a breach of this Agreement, and the invoice naming the Production is evidence of what was bought. A Picture Licence ends if its payment is refunded in full or disputed with your bank; the Production's Renders then carry the Render Mark again and its paid features stop.
A Season Licence is a one-time purchase that entitles every project in one season of a series, named at purchase, to Renders without the Render Mark, in every format, for as long as the App exists, together with the Service's paid features for those projects. A season holds a set number of episodes, shown on the season's page, and every episode added to or moved into the season counts toward it; removing or deleting an episode does not return its place. The series and season are frozen at purchase and printed on your invoice. A Season Licence is not a subscription, does not expire, is not transferable to another season or Production, and is not refundable except as Section 6.6 says. Using one Season Licence to deliver anything other than the episodes of the season it names is a breach of this Agreement. A Season Licence ends if its payment is refunded in full or disputed with your bank; the season's Renders then carry the Render Mark again and its paid features stop.
A Render made under a licence carries the Production's name and a licence reference in its file metadata. We may end a licence that has been used for a Production other than the one it names. We tell you by email, and if you show us we were wrong, we restore it.
6.5 Offline grace
The App caches your Entitlement so a paid customer can render offline. A subscription answer is honoured for up to 30 days offline; a Picture Licence or Season Licence answer for up to a year. A Render made inside that window after a subscription has in fact lapsed is not a breach by you, and we will not pursue it. Do not rely on the grace window as a way to avoid paying.
6.6 Refunds
Except where the law requires otherwise, fees are non-refundable. Two exceptions: if you buy a Picture Licence or Season Licence and tell us within 14 days that you have not exported a clean Render for that Production or for any episode of that season, we will refund it; and if the App cannot produce a clean Render for a licensed Production because of a defect we cannot fix within a reasonable time, we will refund that licence. A refunded licence ends when the refund is made. If you are a consumer in the European Union or the United Kingdom, you have a 14-day right to withdraw from a purchase of digital content; by buying a Picture Licence, Season Licence or subscription and asking that its Entitlement start immediately, you agree that we begin performance at once and acknowledge that you lose the right of withdrawal once a clean Render has been made or a Version published.
6.7 The Student plan
A Student plan is a free twelve-month Pro grant for people currently enrolled at a school, applied for with a school email address and approved by a person. You represent that everything in your application is true and that you are using the plan for your own coursework and student productions. A grant may be revoked without notice if the application was false, if the plan is used for commercial work beyond student productions, or if it is shared. It ends on its own at the end of the year, and you may apply again if you are still studying. We may end or change the programme at any time; a grant already made runs to its end.
6.8 Complimentary and trial access
Where we give access free of charge, we may withdraw it at any time, and it carries no Entitlement beyond the date it says.
7. Your Content, and other people's
7.1 You own it
You own your Content and every Render. We claim no rights in your credits, your Production, or the files the App writes. Between you and us, a Render is yours the moment it exists, marked or not.
7.2 The licence you give us
So that the Service can work, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and process your Content for the purpose of providing the Service to you and your Collaborators, and to keep the records the Service is designed to keep, including immutable Versions, Approvals and view logs. That licence lasts while the Content is on the Service, and after that only as long as Section 14 and the Privacy Policy say a record survives. We do not use your Content to advertise, to train models, or for anything but running the Service.
7.3 What you promise about it
You represent that you have every right needed to upload and use your Content as the Service uses it, including the right to name each person and company in the credits, to use every logo and image, to embed every typeface, to send an invite to each address you enter, and to ask each person you send a verification to about their own credit. Credit Data is personal data about other people. For it, and for the addresses of your Collaborators, you are the controller and we are your processor, and you are responsible for having a lawful basis to give it to us and to your Collaborators. The Privacy Policy is our data-processing commitment to you for that data.
7.4 Content we may act on
We do not monitor Content. If we learn that Content is unlawful, infringes someone's rights, or breaches this Agreement, we may remove it, disable the project, suspend the account, and notify authorities where the law requires. Copyright notices go to the address in Section 20, with the information 17 U.S.C. § 512(c)(3) asks for.
7.5 Feedback and samples
If you send us suggestions, you grant us the right to use them without obligation. Sample credits shown in the App and on the site are illustrations of real films, used to show how a roll looks, and imply no relationship with those productions.
8. Your credits are your responsibility
READ THIS SECTION CAREFULLY. IT DESCRIBES WHAT FINAL FRAME IS, WHAT IT IS NOT, AND WHO IS RESPONSIBLE FOR THE CREDITS YOU DELIVER.
8.1 Final Frame is a tool
The App and the Service are tools for building, previewing, reviewing and rendering credit sequences. They do what you tell them with the Credit Data you give them. You are solely responsible for what your credits say, how they are spelled, what order they are in, what form each credit takes, who is included and who is left out, and for every decision about them.
8.2 Guild, union and contractual credit obligations
Screen credit is governed by collective agreements, including those of the Directors Guild of America, the Writers Guild of America, SAG-AFTRA, IATSE and other unions and guilds in every territory, by the individual contracts of cast, crew, vendors, financiers and music rights holders, by distributor and broadcaster delivery specifications, and by law. You are solely responsible for knowing which of these apply to your Production and for complying with all of them. We are not a party to any of them, we do not know which apply to you, and we do not undertake to check.
8.3 The compliance check is advisory, never a verdict
The App and the Service include a compliance check that reads a roll and raises findings, each citing a public guild document or a convention. Every finding is advisory. A finding says what a rule usually requires and asks you to verify. It does not say that your Production complies with, or breaches, anything. The check encodes only a small set of objective rules, deliberately leaves out every matter that is decided by arbitration, negotiation or interpretation, including writing-credit determination and order, possessory credits and cast billing order, and may be incomplete, out of date, wrong for your agreement, or wrong outright. A clean result means the check found nothing it looks for. It does not mean the credits are correct or compliant. You must verify every credit against the agreements that bind your Production before you deliver, and you agree not to rely on the compliance check as a substitute for doing so.
8.4 Spell check, name consistency and every other assistant
The spell check uses a general word list and a film-credit supplement, never checks names, and can miss errors and flag correct words. Name-consistency and change-since-last-version findings are pattern matches, not knowledge. Safe-area, brightness and order findings are conventions. All of them are aids for a person who is checking, not a check.
8.5 What you see on screen is not a warranty
The preview, the transport readouts, the runtime, the timecodes, the sheet, the staged-edit indicators, the review player, the frame drawings, the compliance panel, the Entitlement status, the render-mark badge, the export summary and the sign-off record are all displays generated by software, and any of them can be wrong, stale, or different from the file that is written. In particular: the preview draws safe-area guides and logo placeholders that the export never draws; the preview is quantised to output frames but is shown on a display that is not your delivery monitor; the review Proxy is an H.264 approximation of the delivery master; and the export summary reports what the App believes it wrote. WE ARE NOT RESPONSIBLE FOR ANY ERROR THAT APPEARS ON SCREEN, OR FOR ANY DIFFERENCE BETWEEN WHAT APPEARS ON SCREEN AND WHAT IS DELIVERED. YOU MUST CHECK EVERY RENDER YOURSELF, FRAME BY FRAME IF THAT IS WHAT YOUR DELIVERY REQUIRES, BEFORE YOU DELIVER IT.
8.6 Technical delivery
Format labels such as “Broadcast delivery”, “Primary delivery”, “Avid” or “cinema/DI” describe the kind of file produced, not a promise that any broadcaster, distributor, festival, platform or facility will accept it. Delivery specifications differ and change. Frames are rendered from an 8-bit canvas and encoded into 10-bit containers; colour is converted and tagged as Rec.709; alpha is carried where the format allows. A font that is missing on the rendering Mac falls back to another typeface. You are responsible for confirming that a Render meets the specification you are delivering to, and for the cost of any re-render, re-delivery, rejection, QC failure, or missed deadline.
8.7 Sign-off is a record of clicks
An Approval records that a named person, reached at a named address, marked a Version approved or asked for changes at a given time. It is not verified identity, not an electronic signature under any signature law unless your own process makes it one, and not a representation by us about the Version. Whether an Approval is enough to lock picture is a decision for your Production.
8.8 Third-party names
Cinecred, After Effects, Avid, Adobe, Apple, ProRes, Excel, Numbers, Frame.io and every other product named in the App or on the site are trademarks of their owners. We name them to describe file formats, import sources and comparisons. We are not affiliated with, endorsed by, or certified by any of them, or by any guild or union. Logos in the library belong to their owners and are offered only for productions that meet the owner's condition shown beside each one.
9. Acceptable use
You agree not to:
- remove, defeat or bypass the Render Mark or the Entitlement check, or help anyone else to;
- use one Picture Licence for more than one Production, or one Season Licence for anything other than the episodes of the season it names, or share an account, an Entitlement or a student grant;
- upload Content you have no right to upload, or that is unlawful, defamatory, infringing, or contains malware;
- use the comments, drawings or invites to harass, threaten or deceive anyone;
- invite people whose addresses you have no right to use, or send invites in bulk;
- probe, scan, load-test or interfere with the Service, or access it by any means other than the App, a web browser, or an interface we document;
- scrape, crawl or copy the Service or its Content, or use it to build a dataset;
- download, copy, post, share or resell the still images in Reference, or use them, or anything else in the Service, to train or tune a machine-learning model;
- misrepresent yourself, your school, your organisation, or your authority to bind it;
- use the App or the Service in breach of export-control or sanctions law, or from a territory or by a person subject to comprehensive US sanctions;
- resell, rent or provide the Service to third parties as a service bureau, except that rendering credits for a client Production you are engaged on is exactly what it is for.
10. Our intellectual property
The App, the Service, their code, design, templates, the film template workbook, the compliance rules as expressed in software, the Final Frame name and marks, and all documentation are ours or our licensors', and are protected by copyright, trademark and other laws. Apart from the licences this Agreement grants, nothing here gives you any right in them. The style templates and the starter credit templates the App ships may be used freely in your Productions.
11. Privacy
The Privacy Policy at https://www.finalframe.cc/privacy explains what we collect on the site and in the App, what the App sends and when, who our service providers are, how long we keep things, and how to export or delete your account. Read it. By using the App or the Service you agree to the processing it describes.
12. Third-party services and open-source software
12.1 Services we depend on
The Service runs on Supabase (database, authentication, file storage, in the United States) and Vercel (hosting). Payments are taken by Stripe. Email is sent by Resend. The App gets its updates from our site and our file storage, on those same providers. Each of those has its own terms and privacy policy, and each may be unavailable or change in ways we do not control. We are not responsible for them.
12.2 FFmpeg
The App does not bundle a video encoder. The first time you render, it downloads a build of FFmpeg from a third-party build server (ffmpeg.martin-riedl.de) and runs it as a separate program. FFmpeg is free software licensed under the GNU General Public License version 2 or later, or the GNU Lesser General Public License version 2.1 or later, depending on how a build is configured; the build the App fetches includes GPL components such as x264. FFmpeg is not part of the App and is not modified by us; it is licensed to you by its authors under its own licence, a copy of which is at ffmpeg.org/legal.html, together with its source code. This Agreement grants you no rights in FFmpeg and places no restriction on your rights under its licence. If the build server is unavailable, the App can use an FFmpeg you have installed yourself. We make no warranty about FFmpeg, its availability, or its output.
12.3 Other open-source components
The App and the Service are built with open-source software, including Tauri (MIT or Apache-2.0), React (MIT), SheetJS Community Edition (Apache-2.0), ExcelJS (MIT), font-kit (MIT or Apache-2.0), the Supabase client (MIT), dnd kit (MIT), React Router (MIT), Lenis (MIT), and the Barlow typeface (SIL Open Font License). Their licences and notices are available from their authors, and nothing in this Agreement limits your rights under them. The App reads the word lists that ship with macOS for spell checking; those are Apple's and their upstream authors'.
13. Term, suspension and termination
This Agreement starts when you first accept it or first use the App or the Service and continues until ended. You may end it at any time by closing your account from the account page and uninstalling the App. We may suspend or end your access immediately if you materially breach this Agreement, if the law requires it, or if continuing would expose us or others to harm, and otherwise on 30 days' notice by email.
On termination your licence to the App and your access to the Service end. Sections 3.2, 3.5, 3.6, 6, 7, 8, 10, 12, 14, 15, 16, 17, 18 and 20 survive. A Picture Licence or Season Licence you have paid for survives termination by you, and survives termination by us unless we terminated for your breach of Section 3.2, 6.4 or 9.
14. Closing an account, and what stays
You can schedule your account for deletion from the account page. Deletion happens 30 days later, and you can cancel it at any point before then. Deletion is refused while a project you own has other Collaborators or an approved Version, or while you have an active subscription, because those are records other people rely on; the account page shows each blocker and how to clear it. If, on the day deletion is due, a project you own has gained Collaborators or an approved Version, or a subscription is active, deletion is cancelled instead and we email you what stopped it. When deletion completes, your profile, your projects, their Versions, their Proxies and your memberships are deleted.
Some records survive de-identified, because the projects they belong to are other people's: a comment you left on someone else's project keeps its text and the name you signed it with; an Approval you gave keeps the address it was requested at; a view-log entry keeps the label it was written with. Invoices, Picture Licence receipts and payment records are kept as long as tax and accounting law require. The Privacy Policy has the full list.
Before closing an account, download your data from the account page. It is one JSON file with every project, Version, comment and Approval you own or took part in.
15. Disclaimer of warranties
THE APP, THE SERVICE, EVERY RENDER, PROXY, VERSION, FINDING, PREVIEW, RECORD AND DISPLAY ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THAT, WE DO NOT WARRANT THAT THE APP OR THE SERVICE WILL MEET YOUR REQUIREMENTS OR ANY DELIVERY SPECIFICATION; THAT THEY WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; THAT ANY RENDER WILL BE ACCEPTED BY ANY BROADCASTER, DISTRIBUTOR, FESTIVAL, PLATFORM OR FACILITY; THAT ANY COMPLIANCE FINDING, SPELL-CHECK RESULT, PREVIEW, TIMECODE, RUNTIME, APPROVAL OR VIEW LOG IS ACCURATE OR COMPLETE; THAT THE COMPLIANCE CHECK WILL DETECT ANY BREACH OF ANY GUILD, UNION, CONTRACTUAL OR LEGAL CREDIT OBLIGATION; THAT YOUR CREDITS ARE CORRECT; THAT FFMPEG OR ANY OTHER THIRD-PARTY COMPONENT WILL BE AVAILABLE; OR THAT ANY DEFECT WILL BE CORRECTED. NO ADVICE OR INFORMATION FROM US, WRITTEN OR ORAL, CREATES A WARRANTY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. IN THAT CASE THOSE WARRANTIES ARE LIMITED TO THE SHORTEST PERIOD THE LAW ALLOWS.
16. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, HIGHLAND PARK ELECTRIC CO, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA OR USE, ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE APP, THE SERVICE, OR ANY RENDER, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
WITHOUT LIMITING THAT, WE WILL NOT BE LIABLE FOR: ANY ERROR, OMISSION OR MISSPELLING IN YOUR CREDITS; ANY CREDIT GIVEN, WITHHELD, MISPLACED OR MISFORMED; ANY BREACH OF A GUILD, UNION, CONTRACTUAL OR LEGAL CREDIT OBLIGATION; ANY CLAIM BY A PERSON NAMED OR NOT NAMED IN YOUR CREDITS; ANY REJECTION OF A RENDER BY ANY BROADCASTER, DISTRIBUTOR, FESTIVAL, PLATFORM OR FACILITY; THE COST OF ANY RE-RENDER, RE-DELIVERY, RE-EDIT, REPRINT, RESCREENING OR MISSED DEADLINE; ANY LOSS OF A PROJECT, REVISION OR RENDER STORED ON YOUR MAC; ANY CONSEQUENCE OF AN AUTOMATIC UPDATE OR OF A REMOTE RENDER YOU ENABLED; ANY DIFFERENCE BETWEEN WHAT APPEARED ON SCREEN AND WHAT WAS DELIVERED; OR ANY ACT OR OMISSION OF A THIRD-PARTY SERVICE OR COMPONENT.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE APP, THE SERVICE OR ANY RENDER WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS. THIS CAP APPLIES TOGETHER TO ALL CLAIMS, AND IT DOES NOT LIMIT YOUR PAYMENT OR INDEMNIFICATION OBLIGATIONS TO US.
THESE LIMITATIONS ARE AN ESSENTIAL PART OF THE BARGAIN. THE APP IS FREE AND THE SERVICE IS PRICED ON THE BASIS THAT WE DO NOT INSURE YOUR PRODUCTION, AND WE WOULD NOT PROVIDE EITHER WITHOUT THEM. THEY APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT EXCLUDE LIABILITY THAT CANNOT BE EXCLUDED BY LAW, INCLUDING FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD, OR, WHERE YOU ARE A CONSUMER, ANY STATUTORY RIGHT THAT CANNOT BE WAIVED.
We are not liable for delay or failure caused by events beyond our reasonable control, including failures of the internet, of a service provider, or of a third-party build server, power outages, strikes, epidemics, government action, or acts of God.
17. Indemnification
You will defend, indemnify and hold harmless Highland Park Electric Co, Inc. and its officers, directors, employees, contractors and agents from and against every claim, demand, loss, liability, fine, cost and expense, including reasonable legal fees, arising out of or relating to: your Content, your credits and your Production; any claim by a person or company named, misnamed or omitted in your credits; any breach of a guild, union, contractual or legal credit obligation; your breach of this Agreement or of the law; your use of a font, logo, image or name you had no right to use; the addresses and names of the people you invited; any Render you delivered; or any use of your account, including by a Collaborator or a Guest you invited. We may take over the defence of any claim at our expense, and you will cooperate.
18. Governing law and dispute resolution
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES INDIVIDUAL ARBITRATION AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.
18.1 Governing law
This Agreement is governed by the laws of the State of California and the federal laws of the United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer in a jurisdiction whose law gives you mandatory protections, nothing here takes them away.
18.2 Talk to us first
Before starting any proceeding, write to hello@finalframe.cc with your name, your account email, a description of the dispute and what you want. We will do the same to you. Both sides will try in good faith to resolve it for at least 30 days from that notice.
18.3 Binding arbitration
If we cannot resolve it, any dispute, claim or controversy arising out of or relating to this Agreement, the App, the Service or your relationship with us, including whether this Section applies, will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures for claims under $250,000 and its Comprehensive Arbitration Rules and Procedures otherwise. The seat is Los Angeles, California. An individual may elect to attend by video or telephone. The arbitrator's award is final and may be entered as a judgment in any court with jurisdiction. The Federal Arbitration Act governs this Section. Each side bears its own fees except where the rules or the law say otherwise, and where the rules make us responsible for a consumer's filing fees, we will pay them.
18.4 Class action waiver
YOU AND WE EACH AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. IF THIS WAIVER IS FOUND UNENFORCEABLE FOR A PARTICULAR CLAIM, THAT CLAIM WILL PROCEED IN COURT UNDER SECTION 18.6, AND THE REST OF THIS SECTION STANDS.
18.5 Exceptions
Either side may bring an individual claim in small-claims court if it qualifies, and either side may seek an injunction or other equitable relief in court to protect intellectual property or to stop circumvention of the Render Mark or Entitlement check.
18.6 Courts
For anything not subject to arbitration, you and we submit to the exclusive jurisdiction of the state and federal courts in Los Angeles County, California, and waive any objection to venue there. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.
18.7 Opting out
You may opt out of arbitration by emailing hello@finalframe.cc with the subject “Arbitration opt-out”, your name, your account email and a statement that you opt out, within 30 days of first accepting this Agreement. Opting out does not affect any other term, and does not affect any earlier arbitration agreement with us.
19. Changes to this Agreement
We may change this Agreement. For a material change we will give at least 30 days' notice by email to the address on your account, and the App and the Service will ask you to accept the new version before you continue on or after its effective date. For other changes, the version and date at the top of https://www.finalframe.cc/terms are the notice, and continuing to use the App or the Service after the effective date is acceptance. If you do not agree to a change, stop using the App and the Service and close your account before it takes effect; a subscription period already paid for runs to its end under the version you accepted.
20. General terms, notices and contact
- Entire agreement. This Agreement, with the Privacy Policy and any order confirmed at checkout, is the whole agreement between you and us about the App and the Service, and replaces every earlier one. Marketing copy, documentation and support answers do not change it.
- Assignment. You may not assign this Agreement without our written consent. We may assign it to an affiliate or a successor to the business, and will tell you if we do.
- Severability. If a term is unenforceable, it is limited to the extent needed and the rest stands.
- No waiver. Not enforcing a term is not a waiver of it.
- Export. You will comply with US export-control and sanctions law, and you represent that you are not on a US restricted-party list and not in a comprehensively sanctioned territory.
- US government users. The App is commercial computer software; government users receive only the rights this Agreement grants.
- Relationship. We are independent contractors. Nothing here creates a partnership, agency, joint venture or employment.
- Interpretation. Headings and the summary at the top are for convenience and do not change the terms. “Including” means “including without limitation”.
- Notices to you go to your account email. Notices to us go to hello@finalframe.cc, or through https://www.finalframe.cc/contact. Copyright notices under 17 U.S.C. § 512 go to the same address, marked “Copyright notice”.
